1. Acceptance of Terms

Black Virtual Career Fair is a talent platform owned and operated by EQ Workforce, LLC, a Texas limited liability company ("EQ Workforce," "BVCF," "we," "us," or "our"). By accessing or using the Black Virtual Career Fair website located at www.blackvcf.com (the "Site") or any services offered through the Site (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site or Services.

EQ Workforce, LLC reserves the right to modify these Terms at any time. We will notify users of material changes by updating the "Last Updated" date above. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms.

2. Description of Services

Black Virtual Career Fair is a subscription-based talent sourcing platform connecting Black professionals with employer partners across the United States and Canada. Our Services are offered to two categories of users:

Employer Partners: Companies and organizations that subscribe to BVCF's talent sourcing, candidate delivery, and virtual hiring event services.

Talent Network Members: Black professionals who join the BVCF talent network to access job opportunities, candidate visibility, career resources, and virtual hiring events.

BVCF is not a staffing agency. We do not place temporary workers or charge placement fees. We operate on a flat-fee subscription model for employer partners.

3. Employer Partner Terms

3.1 Subscription Services

Employer subscriptions are offered on a quarterly (90 day) or annual basis at the rates published on the Site at the time of enrollment. Subscription fees are flat-rate and are not contingent on the number of candidates delivered or hires made.

3.2 Cohort Enrollment

BVCF onboards employer partners in cohorts to ensure quality and results. Enrollment in a cohort is subject to availability and BVCF's approval. Submission of a registration form does not guarantee enrollment.

3.3 Payment

All subscription fees are due in advance of the service period. Failure to remit payment may result in suspension or termination of Services.

3.4 Use of Candidate Information

Candidate information provided through BVCF's Services may only be used for internal recruiting purposes at the subscribing organization. Employer partners may not share, sell, transfer, or otherwise distribute candidate information to third parties.

3.5 Direct Hiring

Employers hire candidates directly. EQ Workforce, LLC is not a party to any employment agreement between an employer partner and a candidate introduced through the platform. BVCF does not charge placement fees or earn commissions on hires.

3.6 No Guarantee of Results

BVCF does not guarantee that any subscription will result in a hire. We commit to active sourcing, candidate delivery, and platform visibility as described in the applicable service agreement but cannot guarantee candidate acceptance of any offer or a specific number of qualified candidates in any given period.

3.7 Virtual Hiring Events

Access to invite-only virtual hiring events is included in active subscriptions. Event schedules are determined by BVCF. Employer partners will receive advance notice of upcoming events. BVCF reserves the right to modify event formats, schedules, or participation requirements at any time.

4. Talent Network Member Terms

4.1 Eligibility

The BVCF talent network is open to professionals based in the United States and Canada who are seeking employment or career opportunities. By joining the network you represent that you meet this eligibility criteria.

4.2 Accuracy of Information

By submitting a profile or application through the Site, you represent that all information provided is accurate, complete, and current. You agree to update your information promptly if it changes.

4.3 Job Board and Opportunities

The BVCF job board and talent network provide access to opportunities posted by or on behalf of employer partners. BVCF does not guarantee the accuracy, completeness, or availability of any listing. You are responsible for independently verifying the details of any opportunity before applying or accepting an offer.

4.4 No Employment Guarantee

Joining the BVCF talent network does not guarantee employment, an interview, or a job introduction. Access to opportunities depends on active employer partnerships and role alignment at any given time.

4.5 Conduct

You agree to engage with employer partners and BVCF in a professional manner. BVCF reserves the right to remove any talent network member who engages in conduct that is fraudulent, abusive, or otherwise inconsistent with these Terms.

5. Prohibited Conduct

You agree not to:

• Use the Site or Services for any unlawful purpose
• Submit false, misleading, or fraudulent information
• Attempt to access any portion of the Site or Services for which you are not authorized
• Interfere with or disrupt the operation of the Site or Services
• Use automated tools to scrape, crawl, or extract data from the Site without written permission
• Use candidate or employer information obtained through the Services for any purpose other than its intended use

6. Intellectual Property

All content on the Site — including text, graphics, logos, and design — is the property of EQ Workforce, LLC and is protected by applicable intellectual property laws. Black Virtual Career Fair is a trademark of EQ Workforce, LLC. You may not reproduce, distribute, or create derivative works from any content on the Site without our prior written permission.

7. Third-Party Platforms

The Site includes links to and integrations with third-party platforms including JotForm, Calendly, and the Black Talent Database job board. Your use of these platforms is governed by their respective terms of service and privacy policies. EQ Workforce, LLC is not responsible for the practices of these third-party providers.

8. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. EQ WORKFORCE, LLC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SITE AND SERVICES IS AT YOUR SOLE RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EQ WORKFORCE, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF EQ WORKFORCE, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL EQ WORKFORCE, LLC'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU TO BVCF IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless EQ Workforce, LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site or Services, your violation of these Terms, or your violation of any rights of another party.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, where EQ Workforce, LLC is organized and operates, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.

12. Termination

EQ Workforce, LLC reserves the right to suspend or terminate your access to the Site or Services at any time, with or without notice, for any reason including violation of these Terms.
